最近，中祥投资公司对1000多家上市公司及其它相关人进行了有关独立董事的问卷调查。在关于独立董事的薪酬支付方式上，有41%的被调查者认为：“将来由有信誉的专门从事独立董事推荐、评估工作的中介机构统一对上市公司收取年费”发放报酬；而由“上市公司直接发放现金，津贴、加车马费的仅占28%”。[16] 从这份调查中可看出，建立间接薪酬制度，催生独立董事人才市场和中介机构，已日渐成为公司发展的必需，业内人事的共识。
总之，建立间接薪酬制度，是增强独立董事独立性，完善上市公司治理的不可或缺的条件之一。笔者提出这一观点与业内人事商槯，同时也企盼看到这一制度在公司治理中早日建立。

A Study on Rules of Indirect Payment & Independence of Outside Director
Abstract: Nowadays, the research the practice about the outside directors’ salary mainly focus on direct payment, that is, the outside directors interpose the affairs of listed company as outside individuals but they directly draw their salary together with the insiders from the company. However, basing on the science of law and psychology to analyse , the regulation of direct payment is corroding the outside directors’ independence, in fact, and further endanger the corporate governance. On one hand, it’s the outside directors’ special character that provoke to set up the regulation of indirect payment; on the other hand, it’s indispensable to establish rules of indirect payment to ensure the outside directors’ independence and perfect the corporate governance.
