国家税务总局关于外商投资企业和外国企业换发税务登记证件有关具体问题的通知

各省、自治区、直辖市和计划单列市国家税务局、地方税务局：
根据《国家税务总局关于换发税务登记证件的通知》（国税发〔1996〕46号）的规定，现就外商投资企业和外国企业换发税务登记证的有关具体问题通知如下：
一、税务登记证的种类
外商投资企业和外国企业税务登记证（以下简称税务登记证），分为“外商投资企业税务登记证”、“外国企业税务登记证”和“外商投资企业分支机构税务注册证”三种。
“外商投资企业税务登记证”的发放对象为中外合资经营企业、中外合作经营企业和外资企业。
“外国企业税务登记证”的发放对象为外国企业在中国境内设立的机构、场所，包括管理机构、营业机构、办事机构和工厂、开采自然资源的场所、承包建筑、安装、装配、勘探等工程作业的场所和提供劳务的场所以及营业代理人。
“外商投资企业分支机构税务注册证”的发放对象为外商投资企业在中国境内设立的从事生产经营的分支机构。
为了便于区别和管理，国家税务局和地方税务局采用不同式样的税务登记证。
二、税务登记证的填写
税务登记证每套由正本和副本组成，正本与副本项目、内容应填写一致。证内项目、内容按以下要求填写：
（一）企业名称：填写工商行政管理部门批准的企业全称；
（二）右上方字、号，填写国家技术监督局编制的9位码，并加挂国标6位行政区域码作为附码；
（三）企业类别：填写中外合资经营企业、中外合作经营企业或外资企业；
（四）经营范围：填写工商行政管理部门核定的经营范围；
（五）注册资本：填写工商行政管理部门核发的营业执照内载明的注册资本额；
（六）有效期限：指发证之日起至1999年7月31日止；
（七）发证机关：加盖主管税务机关印章。
税务登记证的填写，原则上应使用计算机打印，暂时不具备条件的，应用毛笔或钢笔填写，字迹要工整、清楚，不得涂改。
三、税务登记证的印制
外商投资企业和外国企业税务登记证统一由国家税务总局设计、印制，印制费用由各地依所需数量支付。外商投资企业和外国企业填报的税务登记表，由各省、自治区、直辖市国家税务局和地方税务局按附件1、附件2的统一格式自行印制。
四、换发税务登记证的时间
从1996年8月1日起，在全国范围内对外商投资企业和外国企业统一换发新的税务登记证。各级国家税务局和地方税务局应按照“统一代码，分别登记，分别管理”的原则，实施税务登记换证工作。1996年8月1日以前已办理税务登记的应重新换发税务登记证，没有办理税务
登记的要补办税务登记，核发新的税务登记证。
外商投资企业和外国企业换发税务登记证的工作应于1996年9月底以前全部完成，并写出书面总结和填写《外商投资企业和外国企业换发税务登记证情况统计表》，于10月10日前一并上报国家税务总局涉外税务管理司。
五、换发税务登记证的方法及要求
（一）外商投资企业和外国企业应在税务机关规定的期限内，持原税务登记证或主管税务机关核准盖章的税务登记表、国家技术监督机关核发的统一代码证书及其他有关证件，向主管税务机关申请换发或核发新的税务登记证。
（二）主管税务机关对企业报送的证件、资料，经审核无误后，依法核发新的税务登记证。对提供证件不全或资金长期不到位且无固定生产经营场所以及其他不符合有关法律规定的外商投资企业和外国企业，一律暂缓发证。
（三）各级税务机关要结合这次换证，对现有税务登记情况和所辖外商投资企业资格进行一次全面清理审查。凡未按规定办理税务登记的漏管户，均要按照征管法的规定予以处理；对不符合有关法律规定的外商投资企业，停止其享受外商投资企业税收优惠待遇，并提请有关部门取消其
外商投资企业资格。
税务登记换证工作是加强对外商投资企业和外国企业税收管理的一项重要措施，各地国家税务局、地方税务局务必高度重视，加强协调、密切配合，确保这项工作的顺利完成。

填 表 说 明
一、本表适用于中外合资经营企业、合作经营企业和外资企业。
二、本表一式三份，一份留存，两份交受理登记的税务机关，并附送有关批准文件、企业合同、章程、协议书的副本及其他与税务登记有关的资料。
三、本表用中文填写，也可用中、外两种文字填写。填写要字迹清晰。表列各项如有需要说明的，请在说明栏中写明。
Note:
1. This form is to be filled out by:
enterprise with foreign investment, including
Chinese--foreign equity joint ventures.
Chinese--foreign contractual joint ventures and
foreign--capital enterprises.
2. This form should be filled out in triplicate, with one copy to be re-
tained by the enterprise, and two copies submitted to the registra-
tion authorities. The relevant documents include approval docu-
ment, the enterprise's copy of contract, agreement and other docu-
ments concerned.
3. This form should be filled out in Chinese language or both in Chi-
nese and foreign languages. Where explanation is needed for a par-
ticular item, the remarks column at the end of the form can be used
for the purpose, plese write clearly.
